Terms of Service
These terms form a binding agreement between you and Argus Grape for your use of our server-side affiliate-tracking and viral-contest platform. Please read them carefully.

Agreement to terms
By creating an account, accessing the dashboard, or using any part of the Argus Grape platform, services, APIs, or websites (together, the “Service”), you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and “you” refers to that entity.
If you do not agree to these terms, you may not use the Service. Your use of personal data through the Service is also governed by our Privacy Policy and, where Argus Grape processes personal data on your behalf, our Data Processing Addendum.
Accounts & workspaces
The Service is organized around workspaces. Each workspace has at least one owner who is responsible for the account, and may include additional team members — each with a name, email, and role — up to the seat limit of your plan. You are responsible for keeping account credentials secure and for all activity that occurs under your workspace.
You must provide accurate registration information and keep it current. We may apply anti-abuse checks at signup and on an ongoing basis (see Privacy Policy and Acceptable Use), and we may suspend or decline accounts that trip those controls.
Acceptable use
Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these terms by reference. Among other things, you must not use the Service to send spam, to generate fraudulent or artificial clicks or conversions, to circumvent our fraud controls, or to track end users without the disclosures and consent required by applicable law. Violations may result in flagging, suspension, or termination.
Plans, billing & cancellation
The Service is offered on monthly subscription plans. Paid plans renew automatically each month until cancelled. You may cancel at any time from your workspace billing settings; cancellation takes effect at the end of the current billing period. Each plan enforces usage limits, and we may meter, throttle, or decline usage above your plan’s limits.

Fees are billed in advance and, except where required by law, are non-refundable — including for partial months after a cancellation or downgrade. Prices may change with prior notice; changes apply to subsequent billing periods. You are responsible for any applicable taxes.
Affiliate tracking & customer responsibilities
The Service lets you run affiliate campaigns: your affiliates share tracking links, end users click them, and conversions are reconciled from signed webhooks. Our edge tracker captures a click’s request IP, User-Agent, and Accept-Language to derive a salted device fingerprint and a salted ip_hash; the plaintext IP is never stored. Each redirect appends an argus_cid click identifier to your destination URL.
You are solely responsible for your relationship with your affiliates and end users, including providing all required notices and obtaining all consents for the tracking, fingerprinting, and processing performed through the Service, and for any commission terms you offer. For personal data processed through your campaigns, you are the data controller and Argus Grape acts as your processor under the Data Processing Addendum. You must not configure the Service to point at destinations or run campaigns that violate applicable law or our Acceptable Use Policy.
Fraud controls
To protect the integrity of affiliate payouts and contests, Argus Grape operates automated anti-abuse controls. Where traffic trips those controls — for example, clicks that exceed per-IP rate limits or conversions arriving from clicks we have flagged — we may silently neutralize that traffic: a click may be flagged shadow_banned (still redirected, but excluded from attribution) and a conversion tied to a shadow-banned click is automatically rejected so no commission is paid.
We may apply these controls at our discretion, without prior notice, and we are not obligated to disclose the specific signals or thresholds involved. Argus Grape is not liable for commissions, contest points, or revenue attributable to traffic that our fraud controls flag or reject.
Intellectual property
The Service, including its software, edge tracker, dashboard, documentation, and the Argus Grape name, logo, and brand, is owned by Argus Grape and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these terms.
You retain ownership of the data and content you submit to the Service. You grant us the rights necessary to host, process, and transmit that data to provide and improve the Service, consistent with our Privacy Policy and the Data Processing Addendum.
Service availability & changes
We aim to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features, and we may perform maintenance that temporarily affects availability. We will use reasonable efforts to give advance notice of material changes that adversely affect your use.
Disclaimer of warranties
The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements, that attribution or fraud detection will be complete or accurate, or that the Service will be uninterrupted, secure, or error-free.
Limitation of liability
To the maximum extent permitted by law, Argus Grape will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or commissions, arising out of or relating to the Service. Our total aggregate liability for any claim arising out of or relating to these terms or the Service will not exceed the amounts you paid to Argus Grape for the Service in the twelve months preceding the event giving rise to the claim. Nothing in these terms limits liability that cannot be limited under applicable law.
Indemnification
You agree to indemnify and hold harmless Argus Grape and its personnel from and against any claims, damages, liabilities, and reasonable expenses (including legal fees) arising out of or related to your use of the Service, your campaigns and affiliate relationships, your content or data, your failure to provide required notices or obtain required consents, or your breach of these terms or the Acceptable Use Policy.
Termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you breach these terms, if your use poses a security or fraud risk, or as required by law. On termination, your right to use the Service ends; provisions that by their nature should survive — including intellectual property, disclaimers, limitation of liability, and indemnification — will survive. Handling of personal data after termination is described in the Data Processing Addendum.
Governing law
These terms are governed by the laws of the State of New York, United States, without regard to its conflict-of-laws rules. Subject to the “Dispute resolution & arbitration” section below, the state and federal courts located in New York County, New York have exclusive jurisdiction over any dispute arising out of or relating to these terms or the Service, and you and Argus Grape consent to the personal jurisdiction of those courts. Nothing in this section overrides any mandatory consumer protections that apply to you under the laws of your country of residence.
Dispute resolution & arbitration
We want to resolve disputes quickly and without the cost of formal proceedings. Before filing a claim, you agree to first try to resolve the dispute informally by emailing a description of it to legal@argus-grape.com. You and Argus Grape will attempt to resolve the matter through good-faith discussions for at least 30 days before initiating arbitration.
If we cannot resolve a dispute informally, you and Argus Grape agree that any dispute arising out of or relating to these terms or the Service will be settled by binding individual arbitration, administered under the rules of a recognized arbitration provider, rather than in court. The arbitration will be conducted in the English language and seated in New York County, New York, and judgment on the award may be entered in any court with jurisdiction.
To the maximum extent permitted by law, disputes will be arbitrated only on an individual basis. You and Argus Grape each waive any right to a jury trial and any right to bring or participate in a class, collective, or representative action. The arbitrator may not consolidate more than one person’s claims or preside over any form of class or representative proceeding.
As exceptions to arbitration, either party may bring an individual claim in small-claims court if it qualifies, and either party may seek injunctive or other equitable relief in the courts described in “Governing law” to protect its intellectual property or confidential information. Pursuing one of these exceptions does not waive the right to compel arbitration of any other dispute.
You may opt out of this arbitration agreement within 30 days of first accepting these terms by emailing legal@argus-grape.com with your name, your workspace, and a clear statement that you wish to opt out of arbitration. If you opt out, the “Governing law” section governs any dispute; opting out does not affect any other part of these terms.
Changes to these terms
We may update these terms from time to time. When we make material changes, we will update the effective date above and, where appropriate, notify you through the Service or by email. Your continued use of the Service after the changes take effect constitutes acceptance of the updated terms.
